# AI contract review for legal teams: rules and design

> Contract review is the most mature legal AI use case. Clause extraction, risk-flagging, redline suggestion and playbook compliance are routinely automated in EU and UK enterprises. ## What does AI contract review actually do?

Three core functions. Extraction: pulling parties, dates, amounts, governing law, term, renewal and termination clauses into structured fields. Compliance check: comparing the contract against a playbook of approved positions and flagging deviations. Redline: drafting suggested edits to bring terms into the playbook. Advanced systems add clause-library suggestion, risk-scoring and pre-negotiation summaries. The output is rarely an end-state. A junior lawyer reviews flags, accepts or adjusts redlines and finalises the deal. The lawyer-in-the-loop pattern is what keeps the deployment defensible under bar rules and confidentiality duties.

## Is contract-review AI high-risk under the EU AI Act?

Annex III point 8(a) covers AI systems intended to be used by judicial authorities or on their behalf in researching and interpreting facts and the law. Private legal contract review is not covered. The AI Act limited-risk regime under Article 50 still applies: where AI generates or manipulates content, deployers must inform users that the content is AI-generated. For most enterprise contract-review deployments, the operative obligations are GDPR (where personal data is processed), the AI Act Article 50 transparency rules (where AI-generated text is shared with counterparties), and the bar-association rules of the lawyer's licensing jurisdiction.

## What do CCBE and bar rules require?

The CCBE Charter of Core Principles of the European Legal Profession sets six principles binding on all EU bars: independence, confidentiality, avoidance of conflicts, dignity and honour, loyalty to the client, and respect for fellow lawyers. The 2022 CCBE statement on AI confirmed that lawyers using AI tools remain fully responsible under these principles for the work product [2]. National bars have layered specific guidance. The SRA in England and Wales published its AI Risk Outlook in 2023 emphasising client-confidentiality controls and the need for human oversight. The German Bundesrechtsanwaltskammer issued comparable guidance. The American Bar Association's Formal Opinion 512 (July 2024) is the most detailed: lawyers must understand the technology, protect confidentiality, communicate with clients about AI use where material, and maintain competence and diligence.

## How do GDPR and confidentiality interact?

Contracts contain personal data: signatories, contact details, sometimes special-category information in employment or healthcare deals. GDPR applies. The vendor is a processor; an Article 28 data-processing agreement with audit rights, sub-processor controls and security measures is required. Bar-rule confidentiality is stricter than GDPR in many Member States. The lawyer must avoid sending privileged material to a vendor whose terms permit training-data reuse. Most enterprise legal-AI vendors now offer no-training contractual commitments and EU-residency options; both should be in the contract before live use on client matters.

### Is contract-review AI high-risk under the EU AI Act?
